BYLAWS OF BEARD’S ATHLETIC YOUTH LEADERSHIP FOUNDATION, INC.

 
 

DISCLAIMER

ARTICLE I. BEARD’S ATHLETIC YOUTH LEADERSHIP FOUNDATION The name of the organization is Beard’s Athletic Youth Leadership Foundation, Inc. (Hereafter referred to as BAYLF)

Article III. PURPOSE AND MISSION

Section 1. The purpose of BAYLF shall be, through our time, our talents, our money to:

1. Provide resources for underprivileged youth to participate in athletic leadership programs given by our organization. 2. To work with assigned companies through sponsorships to help provide resources to the athletics that participate in our programs. 3. Use any referrals and monetary donations for equipment, practice locations, venues for fundraising activities, travel, meals, tutoring Section 2. This foundation shall not take part in anything that does not support youth development.

Article III. Foundation Meetings

Section 1. The BAYLF shall have quarterly meetings.

Section 2. The BAYLF will have one yearly fundraising event and shall have a host committee separate from the board. The Executive Director has the right to appoint any person (s) from the committee to sit on this committee.

Section 3. All funds from the charity event shall go into the youth leadership foundation.

Section 4. The BAYLF should have dedicated meeting times for board members and the advisors. The meetings should be the 3rd Saturday of each quarter. Board Members should be notified before every meeting.

Article IV. MEMBERSHIP VOTING

Section 1: The advising committee is the Executive Director, 1st Director, 3rd Director Section 2: The board will consist of the Executive Director and (advising committee) three members from the community. Section 3: The Executive Director reserves the right to call a meeting with the advising committee without the entire board. Section 4: Any events outside of the youth fundraiser should be voted on by the BAYLF board. Article V. OFFICERS

Section 1: The officers of BAYLF shall be. Executive Director, 1st Director, and 2nd Director. Board members must all come from the community.

Section 2: The term of the board shall be one year. If an officer would like to serve another term they would have to be voted in.

Section 3: After proper notification (letter delivered in person, emailed, or mailed), any officer or board member can be removed from holding office in BAYLF.

Section 4: Any board member can be removed by two thirds of a vote if called by a board member. Board members can not call for any member to remove without probable cause to the Executive Director/ owner Marcus Beard.

Section 5: The Executive Director, Marcus Beard, reserves the right to remove any advisor from the board.

Article VI. Method of Election

Section 1. The advising board is appointed by the Executive Director, Marcus Beard. The board of BYALF shall be elected by the Executive Director and advising board. The committee will consist of individuals in the community. If a vacancy shall occur, the board can appoint another member from the community to fill the spot.

Article VII. Duties of the officers/ Board of Directors/ host Committee

Section 1. The board shall consist of four individuals from the community, an advising committee, including the Executive Director, Marcus Beard.

Section 2: The board role is to meet on all events and have quarterly meetings to discuss the financials, progress, and events taking place in the community.

Section 3: The host committee will be established to be used only during our yearly charity event and are not able to participate in any voting or financials of BAYLF. The primary goal of the host committee is to help raise funds for the BAYLF fundraising events, basketball tournaments.

Section 4: The 1st Director should be able to step in if the Executive Director, Marcus Beard, is not available.

Section 5: Executive Director and the advising committee shall keep all records on file in the BAYLF notebook and made available to the board.

Article VII. Advisory Board

Section 1: The Advisory Board will consist of three people from the community including the Executive Director, Marcus Beard. They will meet monthly with one another to discuss the organization. The advisory board will also attend monthly meetings with the BAYLF board.

Section 2: The advisory board will also meet with the host committee.

Article IX. Amendments of Bylaws

These bylaws must be amended at any regular meeting of the BAYLF provided notice such as proposed changes have been mailed and emailed or mailed to the members of the host committee, advisory board, and board member of Directors. Any suggested changes should be mailed 30 days in advance to be considered.
